Terms of Service

1. Acceptance of Terms & Who This Applies To

These Terms of Service ("Terms") govern access to and use of Virol (the "Platform"), operated by Virol Promo ("Virol," "we," "us"). The Platform connects record labels, distributors, and independent artists ("Artists") with a vetted network of promotional creators, including DJs, TikTok creators, bloggers, and broadcast media contributors ("Creators"), to run music promotion campaigns.

Virol operates as a closed circuit: access is invite-only. Creators join only through invitation by a partner label, distributor, or existing platform relationship. By accepting an invitation, submitting a campaign, accepting a gig, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Definitions

Platform: the Virol service, including its passwordless login linked to a user's phone number.
Creator: an individual invited onto the Platform to promote music on behalf of Artists, in exchange for payment.
Artist: a record label, distributor, or individual artist who submits and funds Campaigns on the Platform.
Campaign: a promotional brief submitted by an Artist, specifying the content, creator type, budget, and market.
Assignment (or "Gig"): a single Creator's participation in a Campaign, from offer through delivery or resolution.
Payout: the payment made to a Creator for a completed Assignment.
Closed Circuit: the invite-only structure described in Section 3, under which access is limited to invited participants.

3. Eligibility & Invite-Only Access

Access to Virol is by invitation only. Creators are invited either directly by Virol or by a partner label or distributor bringing their own vetted roster onto the Platform.

A Creator's access is linked to their registered phone number rather than a traditional username and password. Campaign offers and other account actions are delivered to that number through the Platform's messaging and web interfaces, without requiring a separate account to be created. You are responsible for maintaining control of the phone number associated with your Creator profile; Virol is not responsible for actions taken through your number if you lose control of your device or SIM.

Virol reserves the right to decline, delay, or revoke an invitation at its discretion, including where a partner label or distributor withdraws its sponsorship of a Creator.

4. Creator Terms

Receiving and responding to offers. When an Artist launches a Campaign matching your profile, you will receive an offer via WhatsApp. You may accept or decline within the response window stated in the offer. An offer not responded to within that window will be treated as unfulfilled and may be reassigned to another Creator.
Delivering the work. Once accepted, you are responsible for completing the promotional activity described in the Campaign brief and submitting proof of completion (e.g., a link, screenshot, or upload) through the Platform within the stated delivery window.
No-shows and replacement. If you accept an Assignment and fail to submit proof of completion within the delivery window, Virol may treat the Assignment as unfulfilled, withdraw it, and reassign it to another Creator. Repeated no-shows may affect your standing on the Platform, including suspension (Section 8).
Performance tracking. Virol tracks each Creator's history of accepted, declined, delivered, and unfulfilled Assignments, and may display a performance indicator to Artists to help them select Creators. This reflects your actual activity on the Platform.
Independent contractor status. You participate on the Platform as an independent contractor, not as an employee, agent, or partner of Virol. You are responsible for your own tax obligations arising from Payouts.

5. Artist / Label / Distro Terms

Submitting a Campaign. You may submit a Campaign specifying the creator type, target market, content or promotional requirements, and budget. Campaigns are matched to eligible Creators within the closed circuit.
Funding. Campaign budgets must be funded before Creators are notified of an offer. Funds are held by Virol and released to Creators upon verified completion of an Assignment, or returned to you where an Assignment goes unfulfilled and no replacement is found (Section 6).
Content usage. Unless otherwise agreed in writing, content created by a Creator as part of an Assignment may be used by you for the promotional purposes described in the Campaign brief. Ownership and any broader usage rights beyond the Campaign's stated purpose should be agreed separately with the Creator.
Accurate briefs. You are responsible for ensuring Campaign briefs are accurate, lawful, and do not request content that would violate these Terms, applicable law, or the policies of the platforms Creators post to (e.g., TikTok, Instagram, radio broadcast standards).

6. Payments, Fees & Payouts

Campaign funds are held by Virol on behalf of the Artist until an Assignment is completed and approved, or automatically approved after the stated review window elapses without dispute.
Virol charges a platform fee on Campaign budgets and/or Payouts, details of which are provided at the time of Campaign submission.
Payouts are made to the bank account or mobile money account a Creator has registered on the Platform. Creators are responsible for the accuracy of the payout details they provide; Virol is not liable for funds sent to an incorrect account resulting from inaccurate details supplied by the Creator.
Where an Assignment is refunded (no replacement Creator found, or the Assignment is withdrawn), funds are returned to the Artist less any non-refundable processing costs, where applicable.
Payout timing and currency depend on the Creator's country and registered payout method, and may take 5 business days or more to reflect.

7. Prohibited Conduct

You agree not to:

Submit fake, bot-generated, or otherwise inauthentic engagement, views, or activity in fulfillment of an Assignment;
Attempt to circumvent the Platform to transact directly with an Artist or Creator for a Campaign first introduced through Virol, in order to avoid platform fees;
Share your invite, portal link, or Platform access with anyone not authorized to use it;
Harass, defraud, or misrepresent yourself to another user of the Platform;
Use the Platform for any campaign or content that is unlawful, defamatory, or infringes another party's rights.

Violation of this section may result in suspension or termination under Section 8, forfeiture of pending Payouts tied to the violation, and, where applicable, referral to law enforcement.

8. Suspension & Termination

Virol may suspend or terminate a Creator's or Artist's access to the Platform at its discretion, including for violation of these Terms, fraudulent activity, or repeated non-delivery.

Effect on active Assignments. If a Creator is suspended or terminated while holding an Assignment that has been accepted but not yet submitted, that Assignment is automatically withdrawn and, where possible, reassigned to another Creator.
Assignments already submitted for review at the time of suspension or termination are not automatically affected and will generally still be reviewed and paid out on their existing terms, unless the suspension itself relates to that specific submission (e.g., fraud).
Suspension or termination does not, by itself, forfeit Payouts already earned for genuinely completed and approved Assignments prior to the action, except where the Payout itself is the subject of the violation (e.g., fraudulent proof of completion).

9. Disputes

If an Artist disputes a Creator's submitted proof of completion, the Assignment is flagged for review rather than automatically approved or paid out. Virol will review the submission and available evidence and make a determination in its reasonable discretion. Both parties agree to cooperate with Virol's review process. Virol's determination on a disputed Assignment is final as between the Creator and Artist, without prejudice to either party's other legal rights.

10. Intellectual Property

Virol retains all rights in the Platform itself, including its name, branding, and underlying technology. Nothing in these Terms transfers ownership of Virol's intellectual property to any Creator or Artist. Rights in promotional content created by a Creator are addressed in Section 5.

11. Disclaimers & Limitation of Liability

Virol operates as an intermediary connecting Artists and Creators; it does not guarantee any particular promotional outcome, audience size, or campaign performance. The Platform is provided "as is." To the maximum extent permitted by law, Virol's liability arising from use of the Platform is limited to the amount of fees paid to Virol in connection with the Assignment or Campaign giving rise to the claim. Virol is not liable for indirect, incidental, or consequential losses.

12. Privacy & Data

Virol collects and processes the phone numbers, payout details (bank or mobile money account information), and campaign-related communications necessary to operate the Platform, including via WhatsApp. Payout account details are encrypted at rest. Data is used to operate, secure, and improve the Platform, and is not sold to third parties.

13. Governing Law & Changes to Terms

These Terms are governed by the laws of Kenya. Virol may update these Terms from time to time. Because the Platform does not use traditional account logins, updates will be communicated via WhatsApp notice and/or posted at usevirol.com/terms, and continued use of the Platform after an update constitutes acceptance of the revised Terms.

1. Introduction & Scope

This Privacy Policy explains how Virol Promo ("Virol," "we," "us") collects, uses, and protects information when you use the Virol platform (the "Platform"), whether as a Creator, an Artist, or a partner label or distributor. It applies to information collected through WhatsApp interactions, the Platform's web portals, and campaign-related communications. This Policy should be read alongside our Terms of Service.

2. Information We Collect

Phone number, used as your identifier on the Platform, since there is no separate username or password.
Profile information you or your inviting partner provide, such as your name or stage name, city, country, social media links, follower counts, and creator type.
Payout details, including bank account or mobile money account information, encrypted at rest.
Campaign and Assignment content, including campaign briefs, proof-of-completion submissions (links, screenshots, or uploads), and related communications.
Messages exchanged with the Platform, including via WhatsApp.
Usage information, such as actions taken through the Platform (accepting or declining offers, submitting proof of completion) and related timestamps, used among other things to reflect your activity history.

3. How We Use Information

To operate the closed-circuit invite system and match Creators to Campaigns.
To process Payouts and verify payout details.
To communicate with you about offers, Campaigns, and account actions.
To detect fraud, inauthentic activity, or violations of our Terms.
To maintain records needed for dispute resolution.
To comply with legal and regulatory obligations, including those tied to payment processing.

4. How Information Is Shared

With Artists, the information needed to evaluate and pay out an Assignment (e.g., proof of completion, relevant profile information).
With Creators, the Campaign brief details needed to complete an Assignment.
With the partner label or distributor who invited a Creator, limited to what's needed to manage that relationship.
With service providers who help us operate the Platform, including payment processing, hosting and database services, messaging services such as WhatsApp, and email delivery, under obligations to protect your information.
We do not sell your personal information to third parties.
We may disclose information where required by law, or to protect the rights, safety, or property of Virol, our users, or others.

5. Data Security

Payout account details are encrypted at rest. Access to personal information is limited to what is needed to operate the Platform. No system is completely secure, and we cannot guarantee the absolute security of information transmitted to or stored by the Platform.

6. Data Retention

We generally retain this information for 6 months after your last activity on the Platform, or longer where needed to meet legal, tax, or dispute-resolution obligations tied to Payouts.

7. Your Rights & Choices

Depending on your country, you may have rights to access, correct, or request deletion of your information. You can exercise these rights by contacting us at go@usevirol.com. Because the Platform does not use a traditional account, a request to stop receiving Platform communications may mean your Creator access is paused, since offers and account actions are delivered through that same channel.

8. Children's Privacy

The Platform is invite-only and not directed at children. We do not knowingly collect information from anyone under the minimum age set out in our Terms of Service. If you believe a child has provided us with information, contact us at go@usevirol.com.

9. International Data Transfers

Because Virol operates across multiple African markets and uses service providers that may process data outside your country, your information may be transferred to and processed in other countries.

10. Changes to This Policy

We may update this Policy from time to time. Because the Platform does not use traditional account logins, updates will be posted at usevirol.com/privacy and, where appropriate, communicated via WhatsApp notice.
